General Terms and Conditions of Sale

1. Who this site is for
This site is reserved for professional hairdressers acting for the purposes of their business. By placing an order, you declare that you are acting as a professional, in the course of your business, and that you have the legal capacity to bind your company.
These terms alone govern the relationship between YDOL and you. No purchasing terms of yours that conflict with them apply, unless we agree in writing. Placing an order means you accept without reservation the version in force on that date.
2. Orders
An order is firm as soon as we confirm it. The information you enter must be accurate: a mistake in the delivery address or company name is on you. We may refuse or suspend an order in the event of a previous unpaid invoice, doubt about your professional status, or a supply shortage.
3. Prices
Prices are in euros, excluding tax, excluding shipping. They are tiered and degressive: the unit price drops as the quantity goes up, and the tier you reach applies to the whole line. The price that applies is the one shown in the catalogue on the day of the order. We may change our prices at any time, with no effect on orders already confirmed.

VAT numbers are checked against the European Commission's VIES service. A number that is invalid at the time of the order means French VAT applies.
5. Delivery
Delivery to the address given at the time of the order, within 2 to 3 working days after dispatch, by DPD or GLS. Lead times are indicative: a delay gives no right to cancel or to compensation.

Pickup point delivery is only offered in France.
6. Transfer of risk
Risk of loss or damage passes to you when the products are handed over to the carrier. It is up to you to check the parcel on delivery and to file with the carrier, within the time limits it sets, any reservation that may be needed.
7. Retention of title
The products remain our property until the price has been paid in full, principal and ancillary amounts alike. This clause does not affect the transfer of risk set out in article 6.
8. Receipt and claims
Any claim about a missing item, a wrong reference or a visible defect must be sent to us in writing at hello@ydol.co within eight days of receipt, with photographs. After that, the products are deemed compliant and accepted.
No return is accepted without our prior written agreement. Products must come back in their original packaging, unopened and unused. For hygiene and safety reasons, no opened chemical product can be taken back.
Returns we have approved must be sent to: GreenLog, 5 boulevard des Bretonnières, 49124 Saint-Barthélemy-d'Anjou, France.
9. Warranties
We warrant that the products match their description, along with the statutory warranty against hidden defects. Our warranty is limited, at our option, to replacing the product or refunding its price. It does not cover damage resulting from unsuitable storage, from a mix that does not follow the instructions, from a dosage or processing time that has not been respected, or from use on a client without a prior test.
The allergy test set out in the instructions is your professional responsibility.
10. Payment
Payment is due in full when you order, by one of the methods offered at checkout. No payment term, no credit and no payment facility is granted. An order is only prepared and dispatched once payment has actually cleared: until payment is confirmed, no goods leave our warehouse.
Statutory statement of payment terms, required by Article L441-10 of the French Commercial Code. Should a payment term be granted exceptionally in writing, or should a payment already received be cancelled or disputed after dispatch, the following are due automatically and without any formal notice: late payment penalties at three times the statutory interest rate, and a fixed recovery indemnity of €40, without prejudice to the costs actually incurred.
11. No right of withdrawal
The right of withdrawal granted to consumers does not apply to our sales, which are concluded between professionals for the purposes of their business.
12. Liability
Our liability is limited to direct and foreseeable damage, and cannot exceed the amount excluding tax of the order concerned. Indirect damage is excluded, in particular loss of operating profit, loss of clientele and harm to image. This limitation applies neither to wilful misconduct, nor to gross negligence, nor to personal injury.
13. Force majeure
Neither party is liable for a failure caused by an event of force majeure, including a supplier's supply shortage, a transport strike or an administrative decision. If the event lasts more than sixty days, either party may cancel the order without compensation.

15. Intellectual property
Our brands, texts, images, shade charts and formulas remain our exclusive property. The right to resell our products confers no right over our brands or our content.
16. Governing law and jurisdiction
These terms are governed by French law. The United Nations Convention of 11 April 1980 on Contracts for the International Sale of Goods is expressly excluded.
Any dispute relating to their formation, interpretation or performance falls within the exclusive jurisdiction of the Paris Commercial Court (Tribunal de commerce de Paris), including where there are several defendants, in warranty claims, in urgent proceedings or on application.
17. Miscellaneous
If one clause is void, the others stand. Our tolerance of a breach is not a waiver. The French version prevails; translations are provided for your convenience.
